These Terms of Service (“Terms”) govern your access to and use of oakspireresearch.com (the “Site”) and the purchase of products from Oakspire Labs LLC (“Oakspire,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility and Research Use
The Site and all products offered on it are intended solely for qualified persons who are 21 years of age or older and who intend to use the products for laboratory and research purposes. All products are supplied for research use only and are not intended for human or animal consumption, diagnostic use, therapeutic use, or any clinical application. By using the Site or placing an order, you represent and warrant that you meet these eligibility requirements and that you will use the products only in a lawful, research-appropriate manner.
2. Access Verification and Accounts
Access to pricing and the ability to place orders require completing our access verification step and creating an account. You agree to provide accurate and complete information during verification and registration, including your role and the identifying information requested. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
We reserve the right to review, flag, suspend, or revoke any account at our discretion, including where information provided appears inaccurate, where an account is associated with misuse, or where required to comply with law or the requirements of our payment providers. Revoking an account removes access to pricing and the ability to place orders.
3. No Medical or Consumption Claims
We make no representation that any product is safe or appropriate for consumption or for any medical, therapeutic, cosmetic, or diagnostic purpose. Nothing on the Site should be interpreted as a claim that any product may be used in or on the body. You are solely responsible for understanding and complying with all laws and regulations that apply to your acquisition, handling, storage, and use of the products.
4. Orders, Pricing, and Payment
- Pricing is displayed to signed-in account holders and may change without notice.
- We reserve the right to refuse, cancel, or limit any order at our discretion, including orders that appear to violate these Terms.
- Payment is processed by our third-party payment provider. You agree to provide accurate billing information and authorize the charge for your order.
- We are not responsible for pricing or typographical errors and reserve the right to correct them.
5. Shipping and Returns
Shipping is governed by our Shipping Policy, and returns and refunds are governed by our Return and Refund Policy, each incorporated into these Terms by reference.
6. Acceptable Use
You agree not to use the Site to violate any law, to resell products in a manner inconsistent with their research-use designation, to misrepresent your identity or eligibility, to interfere with the operation or security of the Site, or to access the Site through automated means except as expressly permitted.
7. Intellectual Property
All content on the Site, including text, graphics, logos, and images, is the property of Oakspire Labs LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce or use this content without our written permission.
8. Disclaimer of Warranties
The Site and products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. 9. Limitation of Liability
To the fullest extent permitted by law, Oakspire Labs LLC and its officers, members, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use or misuse of the products or the Site. Our total liability for any claim relating to a product or order will not exceed the amount you paid for that order.
10. Indemnification
You agree to indemnify and hold harmless Oakspire Labs LLC from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the products, your violation of these Terms, or your violation of any law or the rights of any third party.
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
